Terms of Service

1. Acceptance of Terms
By creating an account or using ZlipFlow (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. The Service
ZlipFlow provides a client portal platform for freelancers and creators to send proposals, deliver files behind payment locks, collect reviews, and manage inquiries.
3. Accounts
You must be at least 18 years old and provide accurate information. You are responsible for all activity under your account and for keeping your credentials secure.
4. Subscription & Billing
Paid plans renew monthly until cancelled. A 7-day free trial is offered to new accounts. You can cancel at any time from your billing page; cancellations take effect at the end of the current billing cycle. We do not offer pro-rated refunds for partial months unless required by law.
5. Payment Processing (Stripe)
All payments — both subscription fees you owe us and client payments you collect through portals — are processed by Stripe, Inc. Use of Stripe is subject to the Stripe Services Agreement. You are responsible for the legality of the goods and services you sell through ZlipFlow.
6. Your Content
You retain all rights to the files, proposals, branding, and other content ("Your Content") you upload. You grant us a limited license to host, transmit, and display Your Content solely to provide the Service.
7. Acceptable Use
You may not use the Service to: (a) violate any law; (b) infringe intellectual property; (c) distribute malware or illegal content; (d) attempt unauthorized access; (e) resell the Service without written permission; (f) process payments for prohibited businesses under Stripe's policies.
8. Client Relationships
ZlipFlow is a tool to facilitate your relationship with your clients. We are not a party to contracts between you and your clients and are not responsible for disputes, chargebacks, or the quality of work delivered.
9. Termination
We may suspend or terminate your account for material breach of these Terms. You may delete your account at any time. Upon termination, your access ceases and we may delete Your Content after the retention period in our Privacy Policy.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZLIPFLOW'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold ZlipFlow harmless from claims arising out of Your Content, your use of the Service, or your violation of these Terms.
13. Changes
We may update these Terms. Material changes will be communicated by email or in-product notice. Continued use after the effective date constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.
